Terms of Service

1. The Service

Georgie is a software platform for planning, building, launching, and managing advertising campaigns on Meta's platforms, including a Creative Studio for generating ad creative. Georgie is a tool you operate; you remain responsible for the campaigns, audiences, budgets, and creative you create and run.

2. Accounts and eligibility

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account, including actions by team members you invite.
• You are responsible for having the authority and permissions to connect and operate any Meta ad account you link to Georgie.

3. Subscriptions, billing, and trials

• Georgie is offered on monthly subscription plans. Plan prices and features are shown on our pricing page and may change with notice.
• Eligible plans include a free trial. A valid payment method is required to start a trial. If you do not cancel before the trial ends, your paid subscription begins automatically.
• Subscriptions renew automatically each billing period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
• Some features (such as Creative Studio generation) are usage-based and billed according to the credits or usage you consume.
• 30-day money-back guarantee. If you are not satisfied with Georgie within 30 days of your first subscription payment, contact us for a full refund of that payment. After the 30-day window, subscription fees and usage-based Creative Studio charges are non-refundable except where required by law.
• Payments are processed by Stripe and are subject to Stripe's terms. You are responsible for any taxes associated with your subscription.
• Ad spend is separate. Amounts you spend on advertising are billed by Meta directly to the payment method on your ad account, not by Georgie.

4. Acceptable use

You agree not to:

• Use the Service to create or run advertising that is illegal, deceptive, or that violates Meta's advertising policies, platform terms, or any applicable law.
• Access another party's data or accounts without authorization.
• Reverse engineer, scrape, resell, or attempt to gain unauthorized access to the Service or its underlying systems, or resell access to Meta's Marketing API through the Service.
• Interfere with or disrupt the integrity or performance of the Service.

We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure for us, other users, or third parties.

5. Your content and connected accounts

You retain ownership of the content you upload and the assets in your connected accounts. You grant Georgie the permissions necessary to operate the Service on your behalf — for example, to access your Meta assets, generate creative from your inputs, and store your configuration. You are responsible for ensuring you have the rights to any product photos, logos, brand assets, or website content you provide.

6. Creative Studio output

Subject to your compliance with these Terms and payment of applicable fees, you own the creative outputs you generate with the Creative Studio. You are responsible for reviewing outputs and ensuring your use of them complies with applicable laws, third-party rights, and platform policies. AI-generated output may be imperfect and should be reviewed before use.

7. Intellectual property

The Service, including its software, design, and content (excluding your content), is owned by Georgie and protected by intellectual-property laws. These Terms do not grant you any right in the Service other than the limited right to use it in accordance with these Terms.

8. Third-party services

Georgie integrates with third-party services, including Meta, Stripe, and AI providers. Your use of those services through Georgie is also subject to their respective terms. We are not responsible for third-party services or for changes they make to their platforms or policies.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. Georgie does not guarantee any particular advertising result, performance, return on ad spend, or outcome.Advertising results depend on many factors outside our control, including your creative, budgets, offers, and Meta's systems.

10. Limitation of liability

To the maximum extent permitted by law, Georgie will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or ad spend, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Georgie from claims, damages, and expenses arising out of your use of the Service, your content, your advertising, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or others. On termination, your right to use the Service ends; sections that by their nature should survive (such as payment obligations, disclaimers, and limitations of liability) will survive.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent change. Material changes will be communicated to active subscribers. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located there. (Confirm governing-law and venue with counsel before launch.)
